IHS competes the acquisition of MTN's towers in Rwanda, Zambia

Independent mobile infrastructure provider IHS Holding Limited has
completed the acquisition of 1,269 base transceiver stations (BTS) in
Rwanda (719 towers) and Zambia (550 towers) from South African
telecoms company MTN Group, for an undisclosed sum. As per the
agreement, IHS will acquire and operate the towers and related passive
infrastructure, and will invest in a build-to-suit programme to
support MTN's future requirements in both countries. Meanwhile, the
South African group's subsidiaries in the two countries – MTN Rwanda
and MTN Zambia – will become the respective anchor tenants on the
towers, although IHS will also offer colocation services to other
operators in the two markets.

As previously reported by TeleGeography's CommsUpdate, in December
2013 MTN Group agreed to sell its tower portfolios in Rwanda and
Zambia to IHS Holding. The divestment of the infrastructure is in line
with MTN's asset optimisation strategy, and builds on two previous
deals with IHS in Cameroon and Cote d'Ivoire, comprising a total of
1,758 towers.

DRC rebels sign amnesty to end fighting

Kampala - Defeated Democratic Republic of Congo rebels who fled to
Uganda have signed amnesty papers vowing not to fight again, a leader
of the group said on Tuesday, marking a key step in peace efforts.

"It's a commitment not to take up arms again against the republic,"
the political head of the M23 rebel group Bertrand Bisimwa told AFP.

Ugandan military spokesperson Paddy Ankunda said 1 295 ex-rebels - who
are confined to a camp under Ugandan army guard - had signed the
forms.

DRC President Joseph Kabila announced the amnesty in February, to
cover "acts of insurgency, acts of war and political offences".

However, more serious transgressions are excluded from the amnesty,
including crimes against humanity, torture, sexual violence, child
conscription and embezzlement and looting.

M23's 18-month long rebellion was crushed in November by government
troops and UN peacekeepers, with fighters fleeing into neighbouring
Uganda and Rwanda.

The United Nations and Kinshasa have accused both Rwanda and Uganda of
actively backing the rebellion that was launched by mutinous soldiers,
claims denied by both Kigali and Kampala.

Several hundred M23 fighters in Rwanda are expected to sign similar
papers in coming days, Bisimwa said. AFP

Congo's Minerals: From Conflict to Community Benefit

Editor's note: This post was written by Natalie Schreffler. Armed
groups' exploitation of conflict minerals and attempts to control the
illicit trade are one of the drivers of the conflict in Democratic
Republic of Congo (DRC). This blog will provide a snapshot of the
conflict minerals trade and highlight one group taking positive action
toward cleaning up the minerals trade and thereby building sustainable
peace in the DRC.

The DRC is the site of the deadliest conflict since World War II, with
rampant instances of sexual violence, mass murder, and child
soldiering. But with the surrender of the Rwanda-backed armed group
M23 in November of 2013, DRC began to see hope for a successful peace
process.

Although M23's surrender was a huge step in the right direction for
DRC's peace process, much progress is still needed. Central to the
peace process is cleaning up the mining sector. Congo is
extraordinarily rich in natural resources--specifically, tin, tungsten,
tantalum ("3Ts") and gold. However, the country remains one of the
poorest and most dangerous countries in the world because armed groups
and the national army benefit financially by exploiting the minerals
trade. For example, the former leader of M23 and ICC indictee, Bosco
Ntaganda, coordinated efforts between M23 and local armed groups to
smuggle gold into Uganda and Burundi, where it was then sold
internationally. Other armed groups such as the Democratic Forces for
the Liberation of Rwanda, or FDLR, and factions of the Congolese army
have also mined and smuggled gold and continue to trade gold for arms.

Congo's minerals--tin, tungsten, tantalum and gold--are used in most
electronic devices, including mobile phones and laptop computers. Like
rebel and army commanders who committed atrocities in Sierra Leone
fueled by "blood diamonds," Congolese militias use the minerals trade
to fund their murderous regimes. Some companies, most notably Intel,
have taken steps to clean up their supply chains and guard against the
use of conflict minerals in their products.

Other efforts by a local coalition of civil society organizations, the
North Kivu Civil Society Support Group for Traceability and
Transparency in the Management of Natural Resources (GATT-RN), are a
critical component of cleaning up the minerals trade in Congo,
"fighting to transform eastern Congo's vast mineral wealth into a
source of life rather than death." By informing local and
international policies on mining sector reform in the region, holding
government and mining authorities accountable, and educating and
mobilizing eastern Congolese citizens to understand and advocate for
their rights, GATT-RN seeks to end the unlawful exploitation of DRC's
vast natural resources and instead benefit Congolese civilians.

The coalition also complements the statutes of section 1502 of the
Dodd-Frank Act by advocating for the implementation of due diligence
guidelines, a crucial aspect of holding companies accountable for
their supply chain responsibility standards.

In the words of one GATT-RN's leader, "Congo's minerals wealth is a
potential source of development, but until the current system is
shaken, our communities will continue to be destroyed over the fight
to control resources. We are steadfast in our efforts, and your
support will go a long way in ensuring the expeditiousness of our
success."

Conflict minerals reporting deadline: is your business ready?

The looming deadline for disclosing the use of conflict minerals from
the Congo is generating mixed responses from US businesses and
experts. Here are some reactions and advice

As US businesses scramble to meet the US Securities and Exchange
Commission's conflict minerals disclosure rule - with the first
reporting deadline rapidly approaching 2 June - some are complaining
of uncertainty and other concerns, while others say they are ready.

A PwC study (pdf) released in April found that many companies - 26% of
respondents - are running behind on preparing their disclosures, even
though 89% have at least one full-time staffer working on their
conflict minerals compliance efforts (and some have more than five).

The rule requires most US companies to report whether they use
conflict minerals from the Democratic Republic of the Congo (DRC) and
neighboring countries.

Last week, the SEC halted part of it's controversial conflict minerals
rule - at least for now - that would have required companies to
declare products that aren't free of DRC conflict minerals as "not
found to be 'DRC conflict-free'" or "DRC conflict-undeterminable". The
decision came after a US appeals court ruled the requirement to be
unconstitutional, saying it would violate First Amendment rights by
compelling commercial speech.

The Commission confirmed that the rest of the rule would remain in
effect, an order that was lauded by some and criticized by others.
"We're disappointed that the SEC's action has only added to the
confusion," a spokesman for the National Association of Manufacturers,
which petitioned for a stay of the entire rule, said via email.

Meanwhile, Julie Schindall, director of communications and stakeholder
engagement at the Electronic Industry Citizenship Coalition, told us
the rule is giving companies more transparency into their supply
chains than ever before. Companies are now being ethically and legally
compelled to find out what is in their supply chains, "literally from
the phone in your hand to the mine itself", she said. "This is very
powerful."

experts in the field:

Sarah Altschuller, counsel for Foley Hoag's corporate social
responsibility practice:

Based on the latest SEC guidance (April 29th & May 2nd), companies do
not need to make a concluding statement in their conflict minerals
reports stating that products are either "not found to be DRC conflict
free", "DRC conflict undeterminable", or "DRC conflict free".

That said, you still need to file the conflict minerals report
including a description of your due diligence efforts, the facilities
located to produce the minerals, the country of origin, etc. The SEC
has essentially said that companies still need to do everything
required by the rule, except provide an ultimate concluding statement.

This new guidance raises an interesting question for companies that
were planning to file a reports stating that products were DRC
conflict undeterminable. Despite the SEC's guidance, companies may
wish to use this designation to clarify that products should not be
presumed to be "not DRC conflict free".

If a company is at the point where it's able to say that certain
products are DRC conflict free, and it was already going to have its
conflict minerals report audited, I don't see a reason why it wouldn't
continue to file a report using the "DRC conflict free" designation.
The company will get a benefit from that and it has already done the
work.

Patricia Jurewicz, director of the Responsible Sourcing Network:

In regards to the latest partial ruling, our advice is to report as
originally intended by the SEC. We, the sustainable responsible
investors, the human rights community and consumers, want to reward
companies who are doing the right thing, who are no longer hiding out
in the shadows and hiding behind any little word inside a legislation
or a rule, or a court decision about what companies don't have to do.
We're not interested in companies who are looking for the least common
denominator. We need to support companies who understand transparency
is important and who are willing to support the communities in the DRC
and buy their minerals when they are responsibly sourced.

We acknowledge and support those companies who have done the work
already who have done the due diligence and engaging the smelters, and
supporting the closed pipe system that are benefitting the people of
the Congo. And for people who are all wrapped up in the nitpicky
language of how the minerals is designated, [who are] staying in the
shadows, it's business as usual, and that's not the future. The future
is about transparency and accountability. We all understand we live in
a global, interconnected world and we all have some responsibility.
Start investigating what's in your supply chain.

The younger generation wants this data, the transparency. They want to
know their own values will not be compromised when they are buying
something like a smartphone. So by having this SEC disclosure is
important. But with this new partial ruling, not all the dots are
connected yet because if you're going through all of this effort to do
the due diligence anyway, why not report [it], state it?

Julie Schindall, director of communications and stakeholder engagement
at the Electronic Industry Citizenship Coalition and the Conflict Free
Sourcing Initiative:

There has been so much activity around this rule, and a lot of our
members have been asking if this impacts our work at the Electronic
Industry Citizenship Coalition and Conflict Free Sourcing Initiative.
We've wanted to make clear this effects your reporting obligation, if
you have one, but doesn't change what we're doing - supporting peace
building. We appreciate the companies who are working with us to
support conflict-free sourcing.

This is a complex and evolving landscape in terms of corporate due
diligence on conflict minerals. That landscape includes everything
from doing the right thing as part of [corporate social
responsibility] to expectations for various regulatory regimes to
guidance provided by standard setting and institutions and
expectations from customers. When a company gets out in front, and is
willing to say 'We are conflict free', [that] really sets up some
business competition.

Nancy Mancilla, CEO of ISOS Group:

Companies haven't moved as swiftly as needed to grasp a better
understanding of the exact percentage of elements sourced per product
from these conflict zones. Instead, companies have more quickly
committed to developing policies and the enforcement of them
individually and through industry associations. I don't think this
momentum will be lost, however, as it seems to be a strong indication
of the intention for true stakeholder engagement - companies and
regulators working together to set achievable and realistic targets.

Lisa Malloy, senior media relations manager at Intel:

Intel is deeply committed to eradicating conflict minerals from our
supply chain and we are glad to see momentum continue. Intel started
our work on this important issue before US legislation was enacted,
which has positioned us well to be ready to report to the SEC in June.
We would like to work with other companies and organizations to share
our experience. We think that the challenge of responsible minerals
sourcing requires a comprehensive solution that involves government
agencies in the US and internationally, non-profit groups and
industry.

KIGALI, Rwanda -- Boniface Hakizimana lives in a rural area of Southern
Rwanda. He lives peacefully with the widow next door, Viviane
N'Habimana. They help each other and support each other when
difficulties arise.

At first glance, this arrangement might not appear extraordinary.
However, this harmonious relationship is anything but typical, because
Hakizimana is responsible for the murder of N'Habimana's husband 20
years ago.

April 7, 2014, marks the 20th anniversary of the start of the Rwandan
genocide. The causes of the violence were complex -- fueled by decades
of ethnic tension dating back to Belgian colonialism and fostered
through hate-filled propaganda broadcast by political extremists.

In the spring of 1994, the tension erupted into frenzied bloodshed, as
members of the Hutu ethnic majority took up machetes and turned on
their minority Tutsi neighbors, butchering relatives, friends,
classmates and colleagues based on the color of their skin and the
width of their noses. It is estimated that up to 1 million people were
slaughtered in just 100 days, while the outside world largely looked
the other way.

The result was a country left in shambles, the very social fabric of
the nation destroyed. The last 20 years in Rwanda has been the story
of a people pursuing a nearly impossible task: picking themselves back
up, rebuilding their lives and learning how to forge the bonds of
trust and forgiveness.

Hakizimana admits that he killed people, including N'Habimana's
husband, during the genocide. While serving a 10-year prison sentence
for his role in the violence, the Gospel message touched his
conscience, and he found a desire to be reconciled.

Upon being released from prison, however, he was shocked to discover
that his wife and N'Habimana were already "living in peace and
harmony," despite the fact that he had killed the neighboring woman's
husband. The two women had both found themselves alone after the
genocide -- one woman's husband dead and the other's imprisoned -- and
they had learned to support and care for each other.

Even more surprising, N'Habimana had been contributing part of the
retribution money she received after the genocide in order to ensure
that her husband's killer had been adequately fed while he was in
prison. Overwhelmed by this act of mercy, Hakizimana apologized for
his crime, and N'Habimana forgave him.

Seeking Peace

Hakizimana and N'Habimana are just two of many individuals who have
found peace through a reconciliation program run through a partnership
of the local Church and government. The program united perpetrators
and victims, bringing them together to talk and listen to one another
and to learn how to seek and grant forgiveness.

For many of the survivors, this has not been an easy process.

"After the genocide, I hated everybody in the community," confessed
one woman. Another said that she was so traumatized at first that she
was incapable of seeing those around her as human. Other survivors
said they had their faith shaken and found themselves struggling to
pray, questioning how a good God could allow such evil.

But those who have gradually learned to open their hearts -- often with
the help of a friend or neighbor or through the outreach of a priest
or nun -- have developed the capacity for reconciliation and healing.

Perpetrators say that apologizing and receiving forgiveness has lifted
a burden from their hearts and allowed them to rest, while victims say
that granting forgiveness allows them to heal and move forward with
their lives.

They emphasize that forgiveness does not mean forgetting what
happened. But in the words of one survivor, "We forgive because we
know that God also forgives."

Participants in the reconciliation program say that their neighbors
who have chosen not to seek or grant forgiveness still live in anger
and bitterness. Some say they have been approached by other people who
see the peace they have achieved in their lives and want to know how
to attain it for themselves as well.

This reconciliation model, instituted largely through the Catholic
Church, is now being examined as a possible template for other
conflicts, and peace-building efforts are now taking place on a
regional level, seeking to promote a culture of peace across borders.

The Church and the Genocide

Members of the Church were not exempt from the hatred and violence
that enveloped the small African country in the spring of 1994; clergy
members were included in the ranks of both perpetrators and victims.
In some cases, Hutu priests, bishops and religious helped to hide and
protect Tutsis. In other cases, they took up arms against them,
ushering them into church buildings with false promises of security
and then trapping and betraying them, facilitating their massacre.

However, survivor Gaspard Mukwiye, who was 19 years old at the time of
the genocide, warns against placing blame on the Church as a whole.

"It's not good to generalize," he emphasized, noting that the killing
was not done in the Church's name, even though some priests and
bishops were involved.

"I don't blame the Church as an institution," he said. "I blame people
individually."

In the past two decades, the Catholic Church has been a major factor
in rebuilding the country.

Deogratias Nzabonimpa, director of administration and finance for the
National Unity and Reconciliation Commission of Rwanda, explained that
"the churches have played a big role" in promoting healing and
forgiveness among the people.

A strongly religious country, nearly 100% of Rwandans attend religious
services weekly. The majority of the country -- roughly 57% -- is
Catholic, and another 37% identify as Protestant or Seventh-Day
Adventist. A devotion to the Divine Mercy of Jesus is widespread, and
the image of Divine Mercy is displayed prominently in many churches,
office buildings and homes. Many Rwandans cite their faith as a reason
to pursue reconciliation and forgiveness after the genocide.

In addition, it was the Catholic Church that suggested the revival of
the Gacaca court system after the genocide. These communal courts had
been an element of traditional Rwandan culture, but the Church
suggested transforming them to help process the tens of thousands of
criminal cases that arose following the genocide.

With the nation's justice system heavily overburdened, it would have
taken more than a century for the cases to be heard in the
conventional court system. The Gacaca courts utilized public trials in
the community with well-respected elders serving as judges. They
helped to facilitate justice for both victims and perpetrators in the
wake of the violence.

Cooperation Bears Fruit

Catholic Relief Services, the official overseas humanitarian agency of
the U.S. Conference of Catholic Bishops, has played a critical role in
helping with peace-building efforts in the country. Following the
genocide, the organization worked closely with the local Church and
government to implement reconciliation programs and structures -- many
at the parish level -- and train some 40,000 leaders in conflict
resolution and peace efforts.

Present in the country for more than 50 years, Catholic Relief
Services has worked in recent years to focus on overall quality of
life improvement. At the community level, the agency teaches
bio-intensive agricultural techniques to help rural Rwandans improve
their production, diversify income and fight malnutrition.

Such programs bring together perpetrators and victims, encouraging
cooperation, communication and solidarity and further working to heal
wounds and bring about reconciliation.

"CRS is a child of the Church," said Father Celestin Hakizimana,
general secretary of the Rwandan bishops' conference. "In some ways,
CRS is here as a sister Church to represent the Church in America."

Father Hakizimana described the current relationship between Church
and state in Rwanda as generally good. Efforts are ongoing to repair
relationships that were damaged during the genocide, and the Church is
dealing with modern challenges, including a recent law to legalize
abortion, which the bishops vocally opposed.

Although obstacles do exist, the Church in Rwanda is strong, Father
Hakizimana said. With the help of Catholic Relief Services, the
national bishops' conference has improved its structure and
organization, and many dioceses are working with the international
agency to strengthen their efficiency, professionalism and financial
management capabilities.

In addition, Father Hakizimana explained that he knows the Church is
growing, "because every Sunday, there are baptisms."

As of October 2013, the seminaries in the small country were filled to
capacity, with 530 men studying in major seminaries. Church leaders
have been forced to limit the number of applicants, while one facility
is being expanded. As Rwanda works to rebuild, the local Church grows
as well.

Looking to the Future

Two decades after being ravaged by unimaginable violence, the small
African country now looks to the future with hope. While wounds from
the past remain, the people have taken important steps toward healing.

"Forgiveness is a process," stressed Bishop Smaragde Mbonyintege of Kabgayi.

Reconciliation is not as simple as merely asking for forgiveness and
receiving it immediately, he explained, adding that it would be
unrealistic to expect all the nation's wounds to be healed in 20
years.

"The people have scars on their hearts," he said. "To rebuild a person
who has been destroyed is not as easy as rebuilding a house that has
been destroyed."

Pope Francis addressed a message of hope and reconciliation to Rwanda
on April 6, during his Sunday Angelus remarks in St. Peter's Square.

"I want to express my paternal closeness to the Rwandan people,
encouraging them to continue, with determination and hope, the process
of reconciliation that has already manifested its fruit," said the
Pope.

"To everyone I say: Don't be afraid! Build your society on the rock of
the Gospel, in love and in harmony, because only like this can you
build lasting peace!"

Kiambu MCA wants to tame picked leaders

A Kiambu MCA will today petition the Senate and National Assembly to
amend the County Governments Act to bar nominated members from voting.

This comes after a section of Kiambu nominated MCAs walked out of the
House last Wednesday with placards reading 'NO TRIP TO RWANDA NO
BURSARY BILL' during debate on the Education Bursary Fund Bill.

The MCAs had been stopped from travelling to Rwanda. "I have spoken to
elected members in Nairobi, Embu, Vihiga, Siaya Nyeri, Machakos and
they are in agreement with me that the nominated members should be
denied voting rights within the House as the elected members hold the
mandate to vote for the people who voted them in," said Karungo wa
thangwa (Ngewa).

He said he will seek to have Section 19 of the Act, which states that
the quorum of a county assembly is one third of all the members,
amended to read one third of all elected members.

Thangwa said Section 20, which states that any question proposed for
decision by the county assembly shall be determined by a majority of
the members present and voting, should be amended to read only elected
members.

"In Kiambu we have 27 nominated members and 60 elected members. The
nominated only need three elected members to form the one-third
threshold of any debate in the House, which can be fatal as it means
they can easily pass laws that will not be favourable to residents
people since they were not elected as was the case of the
controversial Finance Bill," he said at Kanjai Catholic Church in
Ngewa on Sunday.

Thangwa said he does not support their removal, as their position is
provided for in the constitution but they should not elect or remove
the speaker or vote for matters affecting the wards directly and only
be allowed to debate and discuss motions.

"Every elected member of the county assembly is loyal to the person
who elected them but the nominated are not answerable to the people
but to the party," he said.

Kigali -- Shareholders of Rwanda's largest brewer, Bralirwa, may not
smiling as much as last year with the firm offering a lower dividend
payout.

The Rwanda Stock Exchange listed firm recorded a 0.6 per cent drop in
production sales volumes last year to 1.65 million hectoliters from
1.66m hectoliters in 2012, according to a recent press statement from
it.

While export sales also went down by 29%, mainly due to heavy taxes
charged at the border of Democratic Republic of Congo, its largest
export market.

To that, the firm underwent an 18.8% decline in after tax profit from
Rwf 19bn recorded in 2012 to Rwf 15.46 billion last year.

The company's stocks have been rallying at the bourse though,
appreciating by 533 per cent to Rwf 861 at the close of businesson
Wednesday compared to Rwf 136 at its Initial Public Offering two years
ago.

Jonathan Hall, managing director of the beverages manufacturer known
for branded soft drinks like Coca cola and beer brands like Primus,
Mutzig, Amstel, Turbo King and Heineken, said the Rwf 15 per share
dividend payout for shareholders which is 25 per cent less than that
issued last year, was yet to be approved pending the annual general
shareholders meeting to be held next month.

"The proposed dividend, if approved will be paid on 24, June 2014," he said.

Hall said they were also going to propose to the shareholders during
the meeting to consider directors' recommendation to increase the
share capital from Rwf 514.3 million to Rwf 5.14bn through the
incorporation of Rwf 4.63 billion from retained earnings.

"This will be done by increasing the par value of the company's shares
from Rwf 1 to Rwf 5 per share," he said.
